Raleigh, N.C. - On March 24, 2014, partners in Smith Anderson’s Debt Finance Practice, Lee Kirby, Bart Norman and Armand Perry, presented on “Accessing the Debt Markets” as part of the Continuing Professional Education series hosted by VACO Raleigh, an executive placement and consulting firm.
More than 50 senior financial officers from companies in the Research Triangle Region attended the seminar, which covered the following topics:
- “Financing Life Cycle of a Business” – Lee Kirby described the stages in the life of a typical company and related them to the type of financing most appropriate at each stage, from seed capital through bank facilities to purchaser financing upon an investor exit.
- “Highlights and Considerations from a Sample Term Sheet” – Bart Norman walked through the negotiation of a syndicated credit agreement term sheet and covered issues typically negotiated with respect to parties, payment terms and collateral.
- “Effective Use of Legal Counsel” – Armand Perry focused on how companies can make the most effective use of legal counsel at all stages of their debt financings, including to reduce legal costs or obtain better terms, and illustrated with lessons learned from recent Triangle financings.
