Overview

Amanda advises clients ranging from entrepreneurs to micro-cap and small cap publicly traded companies on private and public capital raises and a variety of corporate issues facing early-stage and growth-stage companies.  She also assists larger public companies with registered securities offerings, ongoing SEC and exchange listing compliance and corporate governance matters.  In addition to her securities and corporate governance representation, Amanda has experience assisting companies with a variety of corporate legal needs, including merger and acquisition transactions and internal investigations.

Before obtaining her J.D./M.B.A. and joining Smith Anderson in 2010, Amanda interned with the General Counsel of Nokia Corp. and the Enforcement Division of the U.S. Securities and Exchange Commission.  

Amanda also serves on the Smith Anderson Recruiting Committee.

Experience

  • Represented clinical stage biopharmaceutical company in $8.7 million registered direct offering of common stock and concurrent private placement of warrants
  • Advised a genome editing company that is developing product candidates in allogeneic CAR T immuno-oncology, in vivo gene correction, and food on its $145.4 million IPO underwritten by J.P. Morgan, Goldman Sachs, Jefferies, and Barclays
  • Advised a multinational Fortune 500 provider of product development and integrated healthcare services in its merger with a NYSE-listed global information and technology services company, creating a leading information and tech-enabled healthcare service provider. The equity market capitalization of the joined companies was more than $17.6 billion at closing
  • Represented a global provider of biopharmaceutical development services and commercial outsourcing services in its $1.1 billion initial public offering and listing on the New York Stock Exchange, as well as subsequent secondary offerings
  • Assisted a global pharmaceutical contract manufacturing and development company with the registration of its shares under the Securities Exchange Act
  • Assisted a multinational manufacturer and supplier to the papermaking industry with $240 million senior unsecured notes offering
  • Assisted a major convenience store operator with $250 million senior unsecured notes offering
  • Advised a specialty pharmaceutical company in the sale of a subsidiary to and its investment in a privately held specialty pharmaceutical company
  • Assisted a global provider of biopharmaceutical development services and commercial outsourcing services with evaluation and documentation of its corporate compliance program
  • Advised multiple companies on antitrust related matters including Robinson Patman compliance, price maintenance policies, and preparation of Hart-Scott-Rodino notification forms in connection with merger or acquisition transactions
  • Reviewed confidentiality and consulting agreements for a biopharmaceutical-focused private equity firm
  • Assisted several public companies with preparation and review of current and periodic securities filings
  • Managed communications with listing exchanges and transfer agents in connection with equity offerings and ongoing matters
