David Sartorio joined Smith Anderson in September 2010. David practices corporate law, representing early-stage, growth, venture-backed and public companies in the areas of mergers and acquisitions, venture capital financings, initial coin offerings, token generation events, strategic collaborations, and general corporate matters.

David also serves on Smith Anderson's Recruiting Committee.

Prior to attending law school, David was a member of the Carolina RailHawks (now North Carolina FC), a professional soccer team based in Cary, NC during its inaugural season in 2007.

  • Represented a NYSE-listed energy company in a strategic alliance with an on-site power generation systems company to integrate an energy platform with smart storage solutions, including an initial 50 megawatt project involving distributed generation systems at over 150 sites
  • Representation of a sports blockchain start-up in the launch of the first initial coin offering (ICO) pre-sale on Indiegogo's and MicroVentures’ joint global ICO platform and its ongoing preparation for the planned launch of its public utility token offering
  • Advised a pharmaceutical and biotech construction company and its shareholders in a stock sale transaction for $25.5 million
  • Representation of a social media blockchain company in its corporate formation, seed funding using a SAFT and common stock, and preparation for pre-sale of its initial coin offering
  • Advised an international health care group in an agreement to acquire worldwide patent rights and related intellectual property for two cardiovascular drugs from a world leader in biopharmaceutical business
  • Represented a leading international developer of video games and game engine software in significant minority investment by a Chinese internet company
  • Represented privately held distributor and supplier of original automotive equipment and aftermarket replacement products in its merger with a publicly traded leading provider of automotive aftermarket parts and accessories in a transaction valued at $2.04 billion
  • Advised a commercial drone, software and analytics company in an agreement to purchase the assets of a professional drone pilot network company
  • Represented a publicly-traded business development company in connection with various mezzanine debt and equity investments
  • Advised a French multinational industrial and steel distributor in the acquisition of a controlling interest in a Virginia-based steel service center
  • Represented a manufacturer dealer network in strategic acquisitions for cash and stock of family-owned businesses for expansion and consolidation of network
  • Represented various venture capital funds and start-up companies in early-stage equity and convertible debt financings
  • Represented a global provider of biopharmaceutical development services and commercial outsourcing services in its acquisition of a leading company in the health-information analytics and technology services industry
  • Advised a publicly traded health information technologies and clinical research company in its acquisition of a consulting business focusing on orphan drug designations
