Margaret Rosenfeld Speaks at UNC Kenan-Flagler Business School on Insider Trading Issues

Raleigh, NC (February 21, 2011) – On February 9, 2011, Margaret Rosenfeld delivered a presentation to executive MBA students at the Kenan-Flagler Business School at the University of North Carolina. Ms. Rosenfeld discussed insider trading issues in a presentation entitled “To Trade or Not to Trade.” Ms. Rosenfeld has extensive experience in corporate governance matters and assists the firm’s clients that are dealing with difficult issues such as insider trading inquiries from stock exchanges and SEC investigations. She shared her experiences with the MBA students and led a discussion regarding the ethics and policies behind the U.S. approach to dealing with insider trading cases, touching upon Ivan Boesky, Michael Milken and Martha Stewart.

A corporate and securities lawyer, Ms. Rosenfeld’s practice includes public company reporting, corporate governance, public offerings and private placements of securities, corporate investigations (internal and government), mergers and acquisitions, and intellectual property protection and licensing as well as general corporation representation. She also assists start-up and growth companies as well as mature companies with legal, business and strategic planning, from contractual assistance such as with licensing agreements, employment agreements and joint venture agreements to assistance with public and private debt and equity financing. An active business community participant, Ms. Rosenfeld currently serves on the boards of the Triangle chapters of the Association of Corporate Governance (ACG) and the National Association of Corporate Directors (NACD).

Before joining Smith Anderson in 2001, Ms. Rosenfeld practiced corporate, finance and securities law with Freshfields Bruckhaus Deringer in London, the United Kingdom and Frankfurt, Germany and with Paul, Weiss, Rifkind, Wharton & Garrison in Tokyo, Japan.
