Justin Truesdale joined Smith Anderson in September 2009.  His practice focuses on corporate law, securities law, and mergers and acquisitions.  He has experience assisting companies ranging from private start-up and growth companies to larger public companies with various matters, including corporate governance matters, capital raises, and mergers and acquisitions.

Justin also serves on Smith Anderson’s Diversity and Recruiting Committees.

  • Advises NYSE- and NASDAQ-listed public companies in various industries with respect to public disclosure and securities law compliance matters, NYSE and NASDAQ listing requirements, corporate governance, and general corporate matters
  • Led legal due diligence team for a global provider of biopharmaceutical development services and commercial outsourcing services in its $170 million acquisition of a pharmaceutical research company
  • Led legal due diligence team and negotiated and drafted ancillary transaction documents for a public specialty pharmaceutical company in its $150 million acquisition of a private specialty pharmaceutical company
  • Represented a major convenience store chain in a registered exchange offer of $250 million of outstanding unsecured debt
  • Assisted a global pharmaceutical contract manufacturing and development company with its $30 million subscription rights offering
  • Provided advice regarding reporting obligations with the Securities and Exchange Commission to various public companies, including a public specialty pharmaceutical company, a development stage biomedical company, a major convenience store chain and a local community bank
  • Represented a state of the art aseptic food processing company in various capital raises, including Series A, Series B and Series C Preferred Stock offerings
